IGRC 2024 CONFERENCE TERMS AND CONDITIONS

These International Gas Research Conference 2024 terms and conditions constitute a legal agreement and are entered into by and between you and CGA Enterprises Inc. (“IGRC2024”, “we”, “us”, “our”). The following terms and conditions (“Terms and Conditions”) govern your online registration, attendance at or participation at the International Gas Research Conference 2024 (the “Conference”). The terms “you” or “your” refer to the individual or entity who completes the relevant Conference online registration form or the entity such individual represents that is identified in such registration form.

You understand that your application and participation in the Conference may involve your interaction with our website located at https://igrc2024.org (the “Website”), and agree that your access to and use of such Website will be governed by our standard website terms located at: https://igrc2024.org/terms

1.              Changes to these Terms and Conditions

Except where prohibited by applicable law, we may change these Terms and Conditions from time to time and at any time by posting a new version to the Website. Any and all such modifications are effective upon posting and apply to all access to and participation in the Conference. You agree to periodically review the Terms and Conditions in order to be aware of any such modifications. Your attendance and participation in the Conference after any changes to these Terms and Conditions indicates your acceptance of such changes.

2.              Application and Registration

(a)            Application. Applications are reviewed by the IGRC2024 who retains the right to approve or reject your application in its sole discretion. We recommend that you wait to book your accommodation until you receive approval on your application. Accommodations reserved prior to approval of your application are the sole responsibility of the applicant and it is the responsibility of the applicant to arrange the cancellation of their accommodations should their application be rejected. By registering for the Conference you agree that you have read and accepted these Terms and Conditions and agree to be legally bound by them. If you do not wish to be bound by these Terms and Conditions, please do not register, attend or participate in the Conference. We, in our sole discretion, and without any liability or obligation to refund, reserve the right to refuse admittance to or to eject from the Conference anyone that we determine:

(i)    is behaving in a manner that could disrupt, hinder or cause a nuisance to the Conference or to the enjoyment of any other person or partner at the Conference;

(ii)   does not have appropriate government issued identification and Conference designated wristband or lanyard;

(iii)represents a security or health & safety risk to the Conference or to any person or partner; or

(iv)  fails to comply with, or is likely to fail to comply with, these Terms and Conditions.

You agree to comply with all applicable laws in connection with your attendance or participation at a Conference.

(b)            Registering on behalf of another individual or entity. If you are registering on behalf of another individual or entity, you are agreeing to enter into these Terms and Conditions on their behalf, and it is your obligation to make sure that the individual or representatives of the entity attending the Conference is aware of these Terms and Conditions and complies with them. By completing and submitting the registration form you are representing and warranting that you have the authority to bind such individual or entity to these Terms and Conditions and that you have made the individual attending aware of these Terms and Conditions and that they have accepted these Terms and Conditions.

3.              Cancellation and Refunds

While we use good faith efforts to ensure that the Conference programmes, speakers, topics and venues and dates are correct at the time of publishing, circumstances beyond our control may necessitate substitutions, alterations, postponements, or cancellations to the content, format, themes, name, performers, hosts, moderators, venue, timing or dates of a Conference. We reserve the right to do so at any time and will not be liable to you for any cost incurred by you as a result (including, without limitation, travel, accommodation and other expenses).

We will endeavour to notify you as soon as reasonably practicable of any substitutions, postponements, or changes by posting the updated information on our Website.

All sales of Conference tickets are non-refundable, unless prohibited by applicable law.

4.              Covid-19

As Covid-19 protective restrictions are relaxed across jurisdictions, IGRC2024 health requirements may reflect those imposed by provincial health authorities in the province of Alberta in Canada as well as those imposed by the Fairmont Banff Springs Hotel. Details may be found at the Alberta Ministry of Health.

Caring for the safety and well-being of our attendees our priority. As global health concerns evolve, the IGRC2024 National Organizing Committee is working diligently and coordinating with officials to ensure a clean and safe environment and you agree to cooperate with any protocols we may have in place as a condition of your participation in the Conference.

Refunds will not be provided in the event of a cancellation of the Conference due to a pandemic or any force majeure event (as set out in section 15 below), unless required by law.

5.              Transferring Conference Tickets

You may transfer your tickets if you are no longer able to attend the Conference by contacting help@canavents.com no later than 60 days before the Conference is scheduled to take place. We reserve the right to refuse the transfer of tickets in our sole discretion and without any compensation to you.

6.              Media Consent

By accepting these Terms and Conditions, you acknowledge and agree that IGRC2024 (or its representatives, agents or service providers) may photograph or record images or videos of your participation in the Conference. You agree to permit IGRC2024, or any third party licensed or contracted by IGRC2024, to use, distribute, broadcast, or otherwise globally disseminate your likeness, name, voice and words in perpetuity in television, radio, film, newspapers, magazines and other media now available and hereafter developed, and in any form, without any further approval from you or any payment to you. This grant includes, but is not limited to, the right to edit the media, the right to use the media (alone or together with other information), and the right to allow others to use or distribute the media.

7.              Privacy

Please review our privacy policy located at https://igrc2024.org/privacy  (“Privacy Policy”) for information on the manner in which we collect, use, disclose and otherwise treat personal information.  You acknowledge and agree that we may treat any personal information in accordance with the practices stated therein.

8.              Third-Party Speakers and Exhibitors

The Conference may involve the participation of other third parties, including third party exhibitors and speakers. We make no representations about any products or services that may be promoted or offered by such exhibitors or speakers. If you choose to engage with such exhibitors or speakers, you do so at your own risk. We have no control over the contents of any such content provided by third-parties and accept no responsibility for such content or for any loss or damage that may arise from your use of them.

9.              Additional Terms for Exhibitors

You may apply to occupy a location at the Conference and operate a stall where you can exhibit certain goods or services to attendees (an “Exhibit”) at agreed times, subject to these Terms and Conditions.

You are only permitted to conduct business from your Exhibit and shall not canvass, promote, advertise or solicit for business in any other area of the Conference venue without our express prior written consent.

You are prohibited from sub-letting the Exhibit without our express prior written consent. If and to the extent that you are permitted to sublet the Exhibit, you shall remain responsible for the Exhibit and shall be liable for any breach of these Terms and Conditions by any party to whom the Exhibit is sublet.

You shall not canvass, promote, advertise or solicit for business on behalf of unrelated third parties without our express prior written consent.

Your operation of the Exhibit at the Conference shall be carried out in full compliance with these Terms and Conditions.

Location

We retain the right in our absolute discretion to relocate the Exhibits or require you to occupy an alternative Exhibit within the specified site at the Conference where we deem it to be necessary in the best interests of the Conference or as may be required on security, health & safety grounds or otherwise.

Care and Maintenance

You must keep and maintain the interior, exterior, the fittings and equipment installed at the Exhibits in clean, orderly, sanitary and good repair.

You are responsible for the disposal of all waste products and rubbish and for taking off-site all rubbish generated by it. If required, you shall provide litter bins for the use at the Conference which you must remove from the site at the end of each day. You are responsible for the periodic clean-up of tables and floors in your Exhibit area and the surrounding area.

Access

You may operate the Exhibit between the hours as communicated from time to time. You must ensure, to the complete satisfaction of us, that all Exhibits and rubbish are completely dismantled and removed off-site each day of the Conference. You are not entitled to permit anyone, other than your personnel or those having business with you, to have access to the Exhibit area.

Health and safety

If you are vending food and beverage you must ensure that you are registered with the local food standards and safety office and are, at all times, in compliance with the relevant laws and safety and compliance standards. You must possess and display at your Exhibit a valid licence demonstrating your registration with the local food standards and safety office.

All cooking and heating equipment shall be of a safe and compliant standard. You must ensure that any external gas units are appropriately caged. Such units shall be kept away from public access. You must ensure that your Exhibit is equipped with the proper number, size and type of charged fire extinguishers.

Security instructions

You must observe and comply with, and ensure that your staff engaged at the Exhibits observe and comply with, all instructions and directions given by or on behalf of us or venue management, and with our and venue management’s rules and regulations as communicated from time to time. You must not damage or allow your employees to damage the site that is hosting the Conference or the Exhibit or any part thereof. All personnel on site must wear identification badges at all times and must not enter any restricted areas.

10.           Intellectual Property Rights

All intellectual property rights in and to the Conference, the Conference content, and all materials distributed at or in connection with the Conference are owned by us, our related companies, and/or the Conference sponsors or speakers attending the Conference. You must not reproduce or allow anyone one to reproduce trademarks or materials distributed by or on behalf of us at a Conference for any reason, without our prior written permission.

Nothing in these Termsand Conditions shall vest in you any legal or beneficial right in or to any intellectual property rights owned or used under licence by us or our related companies, or grant to you any right or licence to any other intellectual property rights of us or our related companies. All such intellectual property rights shall remain the exclusive property of us and our related companies.

It is strictly forbidden for any company, organisation, or person to attempt to host or organise any event in conjunction with, contiguous to or purporting to be related to a Conference or its affiliates without the express prior permission and cooperation of us. We reserve their right to take such action (legal or otherwise), including a claim for damages as we, in our sole discretion, deem appropriate in the circumstances.

11.           Your Contribution

We may permit your sharing and publishing of your content to the Conference (such as workshop or other public contributions to the Conference) subject to these Terms and Conditions and our Privacy Policy (“Your Contribution”) and you grant us a worldwide, irrevocable, non-exclusive, royalty-free, perpetual right to use Your Contribution in relation to the Conference. You understand that you are responsible for Your Contribution and it may be publicly available and you agree to waive any moral rights in Your Contribution. We have discretion whether to publish Your Contribution and we reserve the right without further notice to you, to monitor, censor, edit, remove, and/or delete any and all of Your Contribution at any time which we believe to be in violation of these Terms and Conditions. We reserve the right to access, read, preserve and disclose any Your Contribution or any other information that we obtain in connection with the Conference as we reasonably believe is necessary to: (i) satisfy any applicable law, regulation, legal process, subpoena or governmental request; (ii) enforce these Terms and Conditions, including investigation of potential violations of it; (iii) detect, prevent or otherwise address fraud, security or technical issues; (iv) respond to your user support requests; or (v) protect the rights, property or safety of us, our users or the public.

You are not permitted to engage in or attempt to engage in any activity in breach of the Terms and Conditions, this includes:

(a)            impersonating or misrepresenting an individual or entity in a manner that is considered misleading or deceptive;

(b)            partaking in activities that are considered fraudulent, unlawful or false, such as scams;

(c)            sending mass solicitation material without intent or purpose, such as spam;

(d)            knowingly transmitting any data, or sending or uploading any material, that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware;

(e)            knowingly sending, receiving, uploading, download, using or re-using any material that does not comply with our content standards;

(f)             violating the privacy of individuals, or distributing confidential or personal information relating to individuals; and

(g)            violating or infringing any intellectual property or proprietary rights of individuals or entities, including but not limited to copyrights.

You may not use your username, display name, or profile bio to engage in any practice prohibited by these Terms and Conditions.

12.           Disclaimers

To the extent permitted by the applicable law, we disclaim all warranties or conditions, either express or implied, or any part of them in respect of any aspect of a Conference or any related materials. You acknowledge and agree that in accepting these Terms and Conditions you have not relied on any representation or warranty that is not expressly included in these Terms and Conditions and you agree that you shall have no remedy in respect of any misrepresentation which has not become a part of these Terms and Conditions.

You acknowledge and agree that views expressed by speakers at or in connection with the Conference are their own and we do not accept any responsibility or liability for any advice given or views expressed during or in connection with the Conference.

Materials shared or distributed at or in connection with the Conference are intended for information purposes only and should not be relied upon by you or others. We and our related companies do not provide any guarantees, conditions or warranties that the materials are complete or accurate and do not accept any responsibility or liability for reliance by you or any person on any aspect of the Conference and/or any information provided at the Conference.

13.           Limitation of Liability

To the fullest extent allowed by applicable law:

(a)            we and our related companies shall not be liable to you whether in contract, tort (including for negligence), misrepresentation, restitution or otherwise for any for any loss of profits; loss of sales or business; loss of agreements or contracts; loss of anticipated savings; loss of income; loss of opportunity; loss of or damage to goodwill; loss of use or corruption of software, data or information; and/or similar losses or pure economic loss, or for any indirect or consequential loss, costs, damages, charges or expenses however arising under or in connection with the performance or contemplated performance of the Terms and Conditions, even if we had been advised of the possibility of same in advance;

(b)            subject to paragraph (c) (below), our total aggregate liability in contract, tort (including negligence), misrepresentation, restitution or otherwise, arising under or in connection with the performance or contemplated performance of the Terms and Conditions is limited to the total amount paid by you to us for your ticket to participate and access the Conference, after the payment of any processing fees or bank charges applicable.

(c)            nothing in these Terms and Conditions purports to exclude or limit liability for any fraudulent statement or act or in respect of any liability that cannot be excluded or limited under applicable law.

14.           Indemnity

You will defend, indemnify and hold harmless IGRC2024, and its officers, directors, employees and agents (each, a “IGRC2024 Indemnitee”) from and against any and all losses incurred by a IGRC2024 Indemnitee arising out of or relating to any action by a third party that arise from or relate to your breach of any of your obligations, representations, warranties or covenants under these Terms and Conditions or your participation in the Conference. You will fully cooperate with IGRC2024 in the defense of any claim defended by you pursuant to our indemnification obligations under these Terms and Conditions and will not settle any such claim without the prior written consent of IGRC2024.

15.           Force Majeure

It is possible that the Conference may not be available may not be available at any given time due to (a) power or server outages or issues (b) update or maintenance periods (c) as a result of a war, acts of God, flood, drought, earthquake or other natural disaster; (d) epidemic or pandemic; (e) terrorist attack, civil war, civil commotion or riots, war, threat of or preparation for war, armed conflict, imposition of sanctions, embargo, or breaking off of diplomatic relations; (f) nuclear, chemical or biological contamination or sonic boom; (g) any law or any action taken by a government or public authority; (h) collapse of buildings, fire, explosion or accident; (i) any labour or trade dispute, strikes, industrial action or lockouts; (j) non-performance by suppliers or subcontractors; (k) interruption or failure of utility service and/or (l) electronic or communications failure. We will take reasonable efforts to provide you with notice of interruption to the Conference. Where the Conference is unavailable for reasons beyond our control, we shall have no liability to you.

We are not liable if the Conference is, in whole or in part, cancelled, rescheduled or postponed, or for any failure or delay to perform our obligations under these Terms and Conditions, if such event results from anything beyond our reasonable control (for example (a) power or server outages or issues (b) update or maintenance periods (c) as a result of a war, acts of God, flood, drought, earthquake or other natural disaster; (d) epidemic or pandemic; (e)terrorist attack, civil war, civil commotion or riots, war, threat of or preparation for war, armed conflict, imposition of sanctions, embargo, or breaking off of diplomatic relations; (f) nuclear, chemical or biological contamination or sonic boom; (g) any law or any action taken by a government or public authority; (h) collapse of buildings, fire, explosion or accident; (i) any labour or trade dispute, strikes, industrial action or lockouts; (j) non-performance by suppliers or subcontractors; and (k) interruption or failure of utility service , (l) electronic or communications failure y) or anything else that renders performance of the Conference, in whole or in part, impracticable, illegal or impossible.

16.           Feedback

You agree that any suggestion or idea provided by you (such suggestions or ideas, “Feedback”) will not be treated as confidential and you grant to us a fully paid up, perpetual, irrevocable, worldwide, royalty-free, non-exclusive and fully sublicensable right and license to use, license, distribute, reproduce, modify, adapt, translate, distribute, publicly perform, publicly display and otherwise exploit the Feedback.

17.           General Provisions

(a)            Choice of Law. Except as restricted by applicable law, these Terms and Conditions will be governed by and construed in accordance with the laws of Alberta and the federal laws of Canada applicable therein, without giving effect to any choice or conflict of law provision. Any action or proceeding arising out of or relating to these Terms and Conditions will be instituted in the courts located in Calgary, Alberta, Canada, and each party irrevocably submits to the exclusive jurisdiction of such courts in any such action or proceeding. You waive any and all objections to the exercise of jurisdiction over you by such courts and to the venue of such courts. The U.N. Convention on Contracts for the International Sale of Goods will not apply to these Terms of Use. This choice of jurisdiction does not prevent us from seeking injunctive relief with respect to a violation of intellectual property rights or confidentiality obligations in any appropriate jurisdiction.

(b)            Entire Agreement and Interpretation. These Terms and Conditions constitute the entire agreement between you and us pertaining to the subject matter hereof and supersede all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and us with respect to the Website. In these terms “include” or “including” means including “without limitation”.

(c)            Waiver. No failure to exercise, or delay in exercising, any right, remedy, power or privilege arising from these Terms and Conditions operates, or may be construed, as a waiver thereof.

(d)            Severability. If any term or provision of these Terms and Conditions is invalid, illegal or unenforceable in any jurisdiction, such invalidity, illegality or unenforceability shall be severed from these Terms and Conditions and will not affect any other term or provision of these Terms and Conditions or invalidate or render unenforceable such term or provision in any other jurisdiction.

(e)            Assignment. You will not assign these Terms and Conditions to any third party without our prior written consent. We may assign these Terms and Conditions or any rights under these Terms and Conditions to any third party without your consent. Any assignment in violation of this Section will be void. The terms of these Terms and Conditions will be binding upon and enure to the benefit of permitted assignees.

19.           CGA Events App

Apple App Store Additional License Terms

If you download, install and use the CGA Events App (the “CGA Events App”) through the Apple Inc. (Apple Inc. together with all of its affiliates, "Apple") App Store, the following terms and conditions apply to you in addition to all the other obligations in these Terms and Conditions:

(a)            Notwithstanding anything to the contrary hereunder, you may use the CGA Events App only on a Macbook, iPhone, iPad, or iPod touch that you own or control.

(b)            The parties acknowledge that Apple has no obligation to furnish any maintenance or support services with respect to the CGA Events App.

(c)            In the event of any failure of the CGA Events App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the CGA Events App (if any) to you. Except for the foregoing, to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the CGA Events App, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be governed by these Terms and Conditions.

(d)            Any claim in connection with the CGA Events App related to product liability, a failure to conform to applicable legal or regulatory requirements, or claims under consumer protection or similar legislation is governed by these Terms and Conditions, and Apple is not responsible for such claim.

(e)            Any third party claim that the CGA Events App or your possession and use of the CGA Events App infringes that third party's intellectual property rights will be governed by these Terms and Conditions, and Apple will not be responsible for the investigation, defense, settlement and discharge of such intellectual property infringement claim.

(f)             You represent and warrant that you are not: (a) located in any country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; or (b) listed on any U.S. Government list of prohibited or restricted parties.

(g)            You may contact IGRC2024 in writing regarding any notices, questions, complaints or claims with respect to the CGA Events App.

(h)            Apple is a third party beneficiary to these Terms and Conditions and may enforce these Terms and Conditions against you.

(i)             If any of the terms and conditions in these Terms and Conditions are inconsistent or in conflict with Apple's applicable instructions for Minimum Terms for Developer's End User License Agreement, located at http://www.apple.com/legal/internet-services/itunes/appstore/dev/minterms/ (the "Apple EULA Terms") or the App Store Terms and Conditions, located at http://www.apple.com/legal/internet-services/itunes/ca/terms.html (the "Apple App Store Terms") as of the Effective Date, the terms and conditions of the Apple EULA Terms or Apple App Store Terms, as applicable, will apply to the extent of such inconsistency or conflict.

Google Play Additional License Terms.

If the CGA Events App is provided to you through the Google Inc. (Google Inc. together with all of its affiliates, “Google”) Google Play, the following terms and conditions apply to you in addition to all the other terms and conditions of these Terms and Conditions:

(a)            You acknowledge that Google is not responsible for providing support services for the CGA Events App; and

(b)            If any of the terms and conditions in these Terms and Conditions are inconsistent or in conflict with Google’s Google Play Developer Distribution Agreement located at https://play.google.com/about/developer-distribution-agreement.html (the “Google EULA Terms”) as of the Effective Date, the terms and conditions of Google EULA Terms will apply to the extent of such inconsistency or conflict.
